Password Bunny Partner Program Terms

Effective date: October 23, 2026

These Terms govern participation in the Password Bunny Partner Program operated by passwordbunny, Inc. (“Company”), located at 1111B S Governors Ave, Suite 87296, Dover, DE 19904, US.

1. Application and Approval

Applications to join the partner program are accepted by email. The Company reviews each application and notifies the applicant of its approval decision.

Partners must agree to these Terms and provide valid contact details, including an email address, and accurate information required for commission payments. Partners must register a payout account in accordance with the procedures provided by the Company and update their contact or payment information when it changes.

The partnership is established when the applicant agrees to these Terms and the Company notifies the applicant of its approval. Applicants must have the legal capacity to enter into an agreement under these Terms. Anyone applying on behalf of a legal entity or organization must have authority to bind that entity or organization.

2. Referral Methods and Qualification

The Company provides partners with dedicated discounted purchase links, promotional codes, or other methods that identify referrals. Customer discounts and applicable conditions are communicated individually to each partner.

A referral qualifies if the account has no history of paid transactions and a referral method provided by the Company is applied to its first paid transaction. Existing free accounts and free trial accounts are eligible, regardless of when the account was created.

An account with a history of paid transactions does not qualify as a new referral by canceling its subscription and making another payment. Even if a customer registers with a different email address or a separate account, the Company may exclude the transaction from new referrals if reasonable evidence establishes that the customer is the same user who previously used the paid service. However, subsequent renewal payments by a customer whose referral was validly recognized remain eligible for commissions.

Any withholding, cancellation, or adjustment of commissions, and any objections arising from such exclusion, are governed by Section 5.

Publishing content, link clicks, account registration, or starting a free trial alone does not generate commissions. The same payment will not be counted more than once. Partners may contact the Company with questions about referral qualification.

3. Commission Rates and Calculation

A standard commission rate of 20% applies to both initial payments and renewal payments. If the Company separately communicates and agrees on a different commission rate under a partner-specific policy, that agreed rate takes precedence.

Commissions are calculated on the amount actually paid by the customer after all discounts, including partner discounts, coupons, and promotions, excluding taxes and the payment processing fees, currency conversion fees, transfer fees, and intermediary bank fees actually incurred in direct connection with the relevant payment or commission payout.

Commission = (Amount actually paid after discounts, excluding taxes − Deductible direct costs) × Applicable commission rate

If the amount remaining after deductions is below zero, the commission calculation base is zero. Costs already included in this calculation will not be deducted again at payout.

No commission accrues on unpaid amounts or failed payments.

4. Free Trial and Payments

Customers receive a 90-day free trial. No commission accrues during the trial. Commissions are recorded when an actual payment is completed after the trial ends.

Partners may request payment of commissions on initial and renewal payments after 30 days have elapsed from the completion date of each payment.

Commissions are paid to the registered account through the payment service designated by the Company. Where no separate regular payout schedule has been agreed, the Company completes its payment procedures within 90 days after receiving a request for payable commissions together with all required payment information and documents. If payment of the relevant amount is withheld under Section 5, this period begins on the date the reason for withholding is resolved.

Where an individual agreement specifies a regular payout schedule, that schedule and the payment deadline extension provisions below apply instead. The 90-day period above is not added to that schedule or any extension.

If the Company cannot make a regularly scheduled payout for reasonable reasons, including settlement verification, payment processing delays, or system outages, it may extend the payment deadline by up to 60 days from the original payment due date by notifying the partner at their registered email address of the reason and the revised payment due date before the original payment due date.

If only a payout week has been specified and no specific payment date has been separately agreed, the original payment due date for calculating the extension is the last day of the relevant month. Repeated extensions for the same amount do not restart or increase the 60-day limit. The Company will use reasonable efforts to make payment as soon as reasonably practicable during the extension period.

Nonpayment through a payment deadline lawfully extended in accordance with these requirements does not, solely because the original payment due date was missed, constitute a breach of contract.

These extension provisions apply only where a regular payout schedule has been agreed and do not authorize adding 60 days to the otherwise applicable 90-day payment procedures period. No extension is permitted to the extent it conflicts with a payment date or other mandatory requirement imposed by applicable law.

If payment cannot be made because recipient information is missing, verification procedures are incomplete, or account details are incorrect, payment may be withheld until the necessary issues are resolved.

The payout currency is communicated and agreed upon before participation is approved. Payment processing fees, currency conversion fees, transfer fees, and intermediary bank fees are accounted for in the commission calculation under Section 3 and will not be deducted more than once. Partners are responsible for reporting and paying taxes imposed on them. The Company carries out any withholding and tax reporting required by applicable law.

Additional processing time may be required by the payment service and financial institutions before funds reach the account.

5. Cancellations, Refunds, and Invalid Referrals

If an order cancellation, refund, duplicate referral, payment dispute, fraudulent transaction, or violation of these Terms is confirmed, the Company may withhold, cancel, or adjust the related commissions.

The Company may request explanations or supporting materials to verify suspected invalid referrals, and partners must cooperate with that verification.

For partial refunds, commissions are adjusted proportionately to the refunded amount. If an adjustment is required for commissions already paid, the Company will notify the partner of the reason and amount and may offset the amount against future commissions or request repayment to the extent permitted by applicable law.

The Company will inform the partner of the reason for withholding, canceling, or adjusting commissions and the amount affected. Partners may object by providing explanations or supporting materials, which the Company will review and respond to. Valid commissions unrelated to the relevant reason will be paid under the existing payment terms.

6. Promotional Activities

Partners must use the referral methods provided by the Company and the communicated discount conditions, and accurately describe product features, pricing, security capabilities, and other product information.

The following activities are prohibited:

  • False, exaggerated, or misleading promotion
  • Spam, fabricated transactions, or manipulation of referrals
  • Advertising unauthorized discounts or coupons
  • Impersonating the Company’s official accounts or operators
  • Infringing the rights of the Company or any third party
  • Bidding on Password Bunny branded search advertising without prior approval

Partners must comply with the laws governing advertising, endorsements, testimonials, and spam prevention that apply in the countries where they promote the service. Promotional content must clearly disclose that the partner may receive a commission from purchases made through the relevant link or code, in a location consumers can easily notice and in a language they understand.

The Company may request that unlawful or misleading promotional content be corrected or discontinued, and partners must act without delay.

7. Suspension and Termination

Either the Company or the partner may terminate the partnership by email notice at least 30 days before the termination date. The same advance notice applies if the Company terminates the entire program.

However, the Company may immediately suspend participation or terminate the partnership in the event of a material violation of these Terms, such as fraud or manipulation of referrals. Commissions related to the violation may be withheld, canceled, or adjusted.

Commissions accrue only on payments completed before termination takes effect. These commissions remain payable after termination under the existing payment terms and will not be canceled solely because they are awaiting payment at the time of termination.

No commission accrues on future initial payments by accounts still in a free trial at termination or on renewal payments made after termination.

8. Changes to These Terms

The Company may amend these Terms and will notify partners of the changes and their effective date by email to their registered email addresses at least 30 days before the effective date.

Payments completed before the changes take effect are governed by the previous terms. Payments completed on or after the effective date, including initial and renewal payments by previously referred customers, are governed by the amended terms. Separately agreed conditions remain subject to the applicable agreement.

Partners who do not agree to the changes may give notice of termination by email during the advance notice period and end their participation on the effective date of the changes. Commissions in this case are handled under Section 7.

9. Personal Information and Referral Tracking

The Company processes personal information necessary for partner applications, communications, commission payments, and referral verification in accordance with its Privacy Policy. That policy explains the categories of information collected, purposes of use, retention periods, disclosure to payment and tracking service providers, outsourced processing, and international transfers.

The Company and partners must comply with the laws applicable to their own processing of personal information and referral tracking and provide any required notices and obtain any required consent. A partner’s agreement to these Terms does not replace any consent required from customers for processing their personal information or using cookies or other tracking technologies.
